Sepi Partner Program Terms & Conditions

These Terms & Conditions (“Terms”) govern your participation in the Sepi Partner Program (“Program”). By applying to or participating in the Program, you (“Partner”) agree to be bound by these Terms. If you do not agree, do not participate in the Program.
1. Definitions
- "Sepi" refers to the Sepi Business App owned and operated by PlexoSys Consult Limited.
- "Partner" means an approved participant in the Sepi Partner Program
- "Customer" means a business or individual who signs up and upgrades to a paid plan on Sepi through a Partner referral.
- "Referral Link" means the unique URL assigned to the Partner for tracking referrals.
- "Referral Code" means a unique code that a referred customer may enter manually during account setup.
- "Commission" refers to the compensation earned by a Partner under this Program.
- "Qualified Purchase" means a Customer upgrade to a paid Sepi plan that meets the eligibility criteria outlined in these Terms.
2. Eligibility to Join
To qualify for the program:
- You must submit an accurate application.
- Sepi must approve your application. Approval is at Sepi's sole discretion
- You must not run a competing business intelligence, POS, ERP, or accounting software intended for similar markets
- You must comply with local laws applicable to affiliate or referral programs.
Sepi reserves the right to decline or remove any Partner at any time for violations of these Terms.
3. Referral Tracking
Referrals are tracked using:
a) Referral Link (recommended)
Customers must click your Referral Link and sign up within 30 days for tracking to occur.
b) Manual Referral Code Entry
Customers may manually enter your referral code during account setup. If the code is valid and unused, the referral will be attributed to you.
c) Priority of Tracking
If both a cookie and referral code exist, the referral code will take priority.
d) Cross-browser / Cross-device Limitations
Referral cookies do not transfer between browsers or devices. Manual code entry is recommended for accuracy.
4. Qualified Purchases (What Earns Commission)
A referral earns a commission only when:
- The customer signs up using your referral link or code.
- The customer upgrades to a paid plan (monthly, quarterly or yearly)
- The payment is successfully completed and not refunded.
- The customer has not been previously associated with Sepi.
Free trial sign-ups do not earn commissions.
Recurring monthly payments do not earn commissions.
The commission applies once per referred customer, for their first successful upgrade.
5. Commission Structure
- Partners earn 25% commission on the customer’s first paid invoice.
- Commissions are calculated based on the amount Sepi actually receives after adjustments (e.g., currency conversion, taxes, fees).
Example:
If a customer pays $157.50 (yearly plan) → Partner earns $39.38.
Sepi may change commission percentages at any time with notice.
6. Commission Statuses
Commissions in the dashboard may show:
- Pending → Payment received but not yet eligible for payout.
- Payable → Eligible for payout after meeting time and threshold requirements.
- Paid → Already included in a past payout.
- Cancelled → Payment refunded, chargeback, or disqualified referral.
Commissions are marked as pending as soon as a customer pays. They only become payable after Sepi has successfully received and cleared the funds from the respective payment processor.
Each payment method has its own timeline for when Sepi actually receives the funds, which determines when a commission becomes “payable.” Sepi uses the following rules:
1. Web Checkout (Card, Mobile Money, DPO, PawaPay)
Becomes payable 7 days after the payment date
2. Google Play (Android In-App Purchases)
Becomes payable 20 days after the end of the month in which the payment was made because Google only releases funds about 15 - 20 days after month-end.
Example: Customer pays on March 5. Google settles for March payments aroun April 20. Commission becomes payable April 20.
3. Apple App Store (iOS In-App Purchases)
Becomes payable 50 days after the end of the month in which the payment was made because Apple has a much longer settlement period; typically 45 - 60 days after month-end.
Example: Customer pays on March 5. Apple settles March earnings mid-May. So this commission becomes payable around May 20, and is included int he June 15 payout.
7. Payout Eligibility & Schedule
a) Minimum Payout Threshold
Partners must reach a minimum of USD 100 in payable commissions.
b) Payout Schedule
Your commissions are paid out on the 15th of every month and include:
- All commissions earned in the previous month that have reached "payable" status
- All older commissions that have just become payable before the 15th
If a commission has not yet reached payable status by the time payouts are processed on the 15th, it simply rolls forward to the next month's payout cycle.
c) Payment Method
Partners may receive payouts via:
- Bank Transfer
- (Additional methods may be added later)
Partners must provide complete and accurate payout details. Sepi is not responsible for delays caused by incorrect information.
d) Processing Time
Bank payouts may take several business days depending on the Partner’s country.
8. Refunds, Chargebacks, and Invalid Referrals
A referral will not qualify for commission if:
- The customer requests a refund.
- The transaction is reversed or marked fraudulent.
- The referred business already existed in the Sepi system.
- The customer signs up using their own partner link or code (self-referrals).
Sepi reserves the right to void commissions that violate any Program rules.
9. Partner Responsibilities
Partners must:
- Represent Sepi truthfully.
- Avoid misleading claims or false promises.
- Not engage in spam, unsolicited messages, or deceptive advertising.
- Comply with all advertising, tax, and data protection laws.
- Only use approved branding assets and respect Sepi trademarks.
Partners may not:
- Misrepresent themselves as Sepi employees.
- Modify or cloak referral links for malicious purposes
- use confusing domain names similar to SepiApp.com
- Offer cash incentives to customers as part of the referral
10. Taxes
Partners are responsible for reporting and paying any taxes owed on commissions in their jurisdiction. Sepi does not provide tax advice.
11. Termination
Sepi may suspend or remove a Partner for:
- Violating any part of these Terms
- Fraudulent activity
- Abusive conduct
- Inactivity for over 12 months
Upon termination:
- Unpaid commissions under $100 will be forfeited.
- Pending or disqualified commissions will not be paid.
12. Changes to the Program
Sepi may update or discontinue the Program at any time. Continued participation after changes means acceptance of new terms.
13. Limitation of Liability
Sepi is not liable for:
- Lost earnings due to downtime, tracking failures, or technical issues
- Economic losses caused by delayed payouts
- Any indirect, incidental, or consequential damages
Partner participation is voluntary and “as-is.”
14. Governing Law
These Terms are governed by the laws of Uganda. Disputes shall be resolved in Ugandan courts unless otherwise required by law.
